Acceptance of Terms
- By accessing or using OCG Dubai services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
- If you do not agree to these terms, you must not use our services.
- We reserve the right to modify these terms at any time. Continued use of services constitutes acceptance of any modified terms.
- All terms and conditions are governed by and construed in accordance with the laws of the United Arab Emirates.
Services Description
- OCG Dubai provides strategic technology consulting services including AI governance, AI solutions for legacy systems, strategic vendor selection, and implementation oversight.
- We offer advisory services to enterprise clients across various industries including financial services, healthcare, government, retail, manufacturing, and more.
- All services are provided "as is" without warranties of any kind, either express or implied.
- We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.
Client Responsibilities
- Provide accurate, complete, and current information as required for service delivery.
- Maintain confidentiality of any account credentials or access information provided by OCG Dubai.
- Pay all fees and charges as agreed upon in writing prior to service commencement.
- Ensure all necessary approvals, authorizations, and consents are obtained in a timely manner.
- Cooperate with OCG Dubai in providing access to systems, facilities, and personnel as required.
- Comply with all applicable laws, regulations, and industry standards.
OCG Dubai Responsibilities
- Provide services with reasonable care, skill, and diligence in accordance with industry best practices.
- Deliver services in accordance with agreed-upon scope, timeline, and specifications.
- Maintain confidentiality of all client information and data.
- Ensure that all consultants assigned to your project have appropriate qualifications and experience.
- Provide regular progress updates and maintain open communication throughout the engagement.
- Comply with all applicable laws, regulations, and licensing requirements.
Fees and Payment
- All fees will be clearly outlined in project proposals or engagement letters.
- Unless otherwise agreed, fees are due within 30 days of invoice date.
- Late payments may be subject to interest charges at a rate not exceeding 1.5% per month.
- Client is responsible for all taxes, duties, and other governmental charges.
- OCG Dubai reserves the right to suspend services for non-payment after providing written notice.
Intellectual Property
- Client retains ownership of all pre-existing intellectual property and materials.
- OCG Dubai retains ownership of all pre-existing methodologies, frameworks, and intellectual property.
- Any deliverables, inventions, or intellectual property created specifically for the client shall be owned by the client upon full payment.
- Both parties agree to maintain confidentiality of each other's confidential information and intellectual property.
- We grant client a non-exclusive, non-transferable license to use deliverables for its intended purposes.
Confidentiality and Data Protection
- Both parties agree to keep confidential all information received or developed during the engagement.
- Confidential information includes, but is not limited to, business plans, technical information, financial data, and client lists.
- This obligation continues after termination of services for a period of three years.
- We comply with UAE PDPL (Personal Data Protection Law) for all personal data processing.
- We implement appropriate technical and organizational measures to protect personal data.
- We will not sell, rent, or share your personal data with third parties except as required by law or with your consent.
Limitation of Liability
- To the maximum extent permitted by applicable law, OCG Dubai's total liability shall not exceed the total fees paid by client for the services giving rise to the claim.
- OCG Dubai shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- We are not liable for any loss of profits, data, business, or other intangible losses.
- We are not liable for any unauthorized access to or use of our services by any third party.
- Client agrees to indemnify OCG Dubai against claims arising from client's breach of these terms.
Termination
- Either party may terminate these terms with 30 days written notice.
- OCG Dubai may terminate immediately for material breach by client.
- Client may terminate immediately for material breach by OCG Dubai.
- Upon termination, client shall pay for all services rendered up to the termination date.
- Confidentiality obligations survive termination of these terms.
- All provisions which by their nature should survive termination shall survive.
